OUR VALUES 

At CONTACTVERSE, we commit to engage in ethical and fair business practices. These values guide us in everything we do, ensuring we conduct ourselves ethically, morally, responsibly, with integrity and in compliance with all applicable laws.



We believe in doing the right thing and making the right decisions, even if doing so may require us to choose a more difficult path or to put in extra effort.



Each of us is responsible for adhering to these principles and promptly reporting any actual or suspected violation of this Code of Conduct or other CONTACTVERSE policy.



This Code of Conduct sets forth the foundational standards of ethical, legal and responsible business conduct that must be followed by all CONTACTVERSE personnel. Additional CONTACTVERSE policies provide further guidance and support the principles set forth in this Code of Conduct. Adherence to this Code of Conduct and related policies is mandatory and our management team is responsible for ensuring compliance. Failure to adhere to these standards may result in corrective action.

COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS 

Anti-Bribery and Anti-Corruption

CONTACTVERSE takes a zero-tolerance approach to bribery and corruption. We do not offer or accept bribes or kickbacks or engage in any form of corruption in our business dealings. Offering or paying bribes or anything of value to win business or to obtain an unfair advantage is unacceptable, even if business is lost or difficulties are encountered as a result. 


Gifts, hospitality, entertainment and other business courtesies are acceptable only if they are reasonable, proportionate, and made in good faith and in compliance with CONTACTVERSE policies. A business courtesy must not, in nature, value or frequency, give rise to an appearance of impropriety or impose a sense of obligation or expectation on the recipient that CONTACTVERSE or anyone else will receive anything in return. 


To avoid the appearance of impropriety, we do not promise, offer or provide any business courtesies to any government official, or personnel associated with a government-owned entity unless it is first approved in writing by CONTACTVERSE’ Chief Compliance Officer, Privacy officer (and/or their assignees). 

Anti-Fraud, Fair Dealing and Competition

CONTACTVERSE does not tolerate dishonest or fraudulent behavior. We conduct ourselves honestly in all situations and do not tolerate any fraudulent acts. We succeed by competing fairly and dealing truthfully with customers and business partners, without manipulation or concealment. We uphold fair business standards in advertising, sales and competition and do not engage in fraud, misrepresentation or deception. We accurately and fairly describe our products and services and do not misrepresent our capabilities. We obtain information about our competitors only by lawful means and use that information responsibly. 


Antitrust and competition laws prohibit agreements between competitors that affect prices, costs, terms or conditions of sale, the markets in which they will compete, or customers or suppliers with whom they do business. These laws may also regulate distribution agreements, rebates, discounts, or territorial restrictions on resellers. We comply with all applicable antitrust and competition laws where we do business. 

Global Trade Compliance and Sanctions

As a global company, we abide by import and export laws of the countries where we conduct business, as well as international trade laws and regulations that prohibit or restrict trade with certain countries, organizations, or individuals. We comply with all applicable international trade laws and regulations, including import, export and re-export controls regulations, and applicable embargoes, sanctions and anti-boycott laws. 

Anti-money Laundering 

CONTACTVERSE does not facilitate money laundering. We comply with all applicable anti-money laundering laws and conduct business only with reputable parties involved in legitimate business activities using funds from legitimate sources. 

Conflicts of Interest 

We seek to avoid all conflicts of interest and act in the best interests of CONTACTVERSE at all times. We do not engage in activities that compete directly or indirectly with CONTACTVERSE' interests. 

MAINTAINING A SAFE, FAIR AND RESPECTFUL WORKPLACE 

Safe and Healthy Workplace 

We commit to maintaining a safe, healthy and secure work environment that encourages innovation, creative thinking and teamwork. We comply with all the health and safety laws of the countries where CONTACTVERSE conducts business and endeavor to maintain our facilities in a safe, clean, orderly and healthy condition free from recognized hazards. If we observe any situations that may pose a health, safety or environmental hazard, we will report it to the appropriate party immediately. 

Human Rights and Modern Slavery

CONTACTVERSE supports fundamental human rights and complies with all applicable human rights, civil rights and employment laws wherever we operate. Everyone who works for CONTACTVERSE is, consistent with local laws, entitled to fair wages and hours, freedom of association and a work environment free from discrimination, harassment and retaliation. 


Modern slavery is a violation of fundamental human rights. Modern slavery takes on various forms, including slavery, servitude, forced and compulsory labor and human trafficking, all of which have in common the deprivation of a person’s liberty by another to exploit them for personal or commercial gain. CONTACTVERSE takes a zero-tolerance approach to modern slavery. We commit to act ethically to implement and enforce effective systems and controls to ensure modern slavery does not take place within our supply chains. 

Ethical Employment Practices, Diversity and Non-Discrimination 

CONTACTVERSE recognizes the value of diverse skills, ideas, and backgrounds and commits to maintaining a professional work environment free from discrimination, harassment and abuse. We treat each person with dignity and respect, and value each other’s individual contributions. We make employment decisions based on merit and afford equal opportunity to the fullest extent provided by law. 


We do not discriminate in hiring or engage in improper employment practices based on characteristics that are protected by local laws. We do not tolerate discriminatory conduct, abuse of authority or harassment of any kind, and we do not engage in any conduct that encourages or creates a discriminatory, abusive or hostile work environment. 

PROTECTING OUR INFORMATION AND ASSETS 

We are responsible for safeguarding CONTACTVERSE’ tangible, intangible and financial assets, including our intellectual property, innovations, technology, brands, confidential information, equipment and goodwill. We follow CONTACTVERSE’ policies and procedures to prevent loss, damage, theft and misuse. We use CONTACTVERSE assets only for legitimate business purposes and not for private purposes unrelated to CONTACTVERSE’ business. 

Confidential Information, Data Security and Privacy

We safeguard CONTACTVERSE’ proprietary and confidential information, which includes all information, whether written or oral, that CONTACTVERSE has a legitimate business interest in protecting. This includes, among other things, technical design or process data, improvements, new products, products in development, inventions, models, manuals, know-how, financial data, pricing information, business development or acquisition plans, marketing plans, project practices and customer and supplier lists. We do not disclose or share any proprietary and confidential information with third parties without written authorization. 


We follow all applicable privacy laws that govern the handling of information and data, which may include private and sensitive personal information of customers, individual information collected by customers, suppliers, business contacts, CONTACTVERSE employees and other people that CONTACTVERSE has a relationship with or may need to contact. We protect information entrusted to us by third parties as if it were our own information.  

Intellectual Property 

CONTACTVERSE’ intellectual property is a valuable asset that differentiates us from our competitors. We protect and maintain CONTACTVERSE’ intellectual property such as patents, copyrights and trademarks, and remember that CONTACTVERSE owns all work product created by CONTACTVERSE personnel to the extent permitted by law. We also respect the intellectual property of others and do not infringe or violate their intellectual property rights. 

INVESTIGATIONS AND AUDITS

We will fully and promptly cooperate with internal and external auditors and investigators and respond fully and truthfully to requests for information and documents.

SPEAKING UP 

If we suspect or observe a violation of our Code of Conduct or any other CONTACTVERSE policy or law, we will report it by contacting one of the following: 

  1. A manager or supervisor 
  2. Human Resources Department 
  3. Chief Compliance Officer 
  4. Legal Department at legal@contactverse.ai 
  5. Ethics & Compliance Team at ethics@contactverse.ai 

CONTACTVERSE also has a Speak Up line, available 24 hours a day, 7 days a week, that is accessible anytime and which allows for anonymous reporting to the extent permitted by law. Reports can also be made by telephone at +44 742 487 0961. 
 
CONTACTVERSE strictly prohibits any form of retaliation. We do not retaliate against an individual for reporting a concern in good faith, even when no evidence is ultimately found to substantiate the report, or an individual who participated in an investigation.
